MERGERS & ACQUISITIONS

PPHB provides customized buy-side and sell-side advisory services to public and private energy service companies and their shareholders. We work closely with clients to understand their objectives and then develop solutions that range from broad auctions to focused, negotiated transactions with a single or select group of potential buyers.

Institutional PRIVATE EQUITY

PPHB cultivates and maintains relationships with the institutional private equity community. We have been fortunate to have executed numerous transactions with private equity sponsors – from the placement of growth equity to complete recapitalizations and leveraged buy-outs. By maintaining relationships with these firms, PPHB is aware of their interests and is well-positioned to create a competitive market for the placement of private equity and the sale or recapitalization of oilfield service companies.

DEBT ADVISORY

PPHB provides clients with tactical advice on raising new capital or refinancing existing debt facilities. We currently serve clients who are considering an acquisition that requires debt capital, needing to refinance or restructure existing facilities, breaching or at risk of breaching lending covenants or other terms of financing or needing additional funding for working capital purposes.

VALUATIONS

A critical part of almost any investment banking process is valuation. PPHB works primarily on the private side of the market, where companies have little if any, trading of their securities, and there are no Research Analysts. In this environment, the firm spends a tremendous amount of time researching valuation and continuously gathering market information.

FAIRNESS OPinions

Over the years, PPHB and its partners have provided fairness opinions on numerous transactions in the oilfield service sector. Companies often enter into transactions, whether with third parties or affiliates, without going through a full market clearing process. In these cases, where valuation may have been determined through negotiation or in less than an arm’s-length way, boards may feel more comfortable having a qualified firm review the transaction.
